FSP Investments acts as a real estate investment banking firm and broker/dealer, which engages in the organization of single-purpose entities that own real estate and the private placement of equity in those entities. Each entity is organized as a Delaware corporation operated in a manner intended to qualify as a real estate investment trust (REIT) for federal income tax purposes. FSP refers to these entities as “Sponsored REITs”. FSP Investments’ experienced Investment Executives sell preferred stock in the Sponsored REITs through private placements exempt from registration under the Securities Act of 1933. The private placement of the equity in the Sponsored REITs is sold through best efforts offerings to “accredited investors” within the meaning of Regulation D of the Securities Act.
The Sponsored REITs borrow from FSP the capital needed to acquire properties that FSP acquisition professionals believe have unique investment merit.
FSP Investments derives revenue from commissions received in connection with the sale of equity interests in the Sponsored REITs and from fees paid by the Sponsored REITs for its services in identifying, inspecting and negotiating to purchase real properties on their behalf.
FSP Investments is a registered broker/dealer with the Securities and Exchange Commission and is a member of the Financial Industry Regulatory Authority (“FINRA”).
